Chapter 10.
CONGREGATION MEETINGS

C10.01. Meetings of this congregation shall be held at times specified in the bylaws.

C10.01.01. A meeting to review the programs of this congregation shall be held each year at a date and time set by the Congregation Council.

C10.01.02. A meeting to elect Congregation Council members, Synod Assembly members, and, in odd-numbered years, the president, and to review and approve the budget for the subsequent year, shall be held each year at a date and time set by the Congregation Council.

C10.02. A special Congregation Meeting may be called by a pastor, the Congregation Council, or the president of this congregation, and shall be called by the president of the congregation upon the written request of ten percent of the voting members. The call for each special meeting shall specify the purpose for which it is to be held and no other business shall be transacted.

C10.03.  Notice of all meetings of this congregation shall be given at the services of worship on the preceding two consecutive Sundays and by mail to all voting members at least 10 days in advance of the date of the meeting. The posting of such notice in the regular mail, with the regular postage affixed or paid, sent to the last known address of such members shall be sufficient.

C10.04. Ten percent of voting members shall constitute a quorum.

C10.05. Voting by proxy shall not be permitted. Absentee voting shall be permitted in balloting for president and for members of the Congregation Council and Synod Assembly by voting members who:

a. cannot attend the Congregation Meeting;

b. request absentee ballots; and

c. return ballots to election stewards in time to be counted during the voting process.

C10.06. All actions by the congregation shall be by majority vote except as otherwise provided in this constitution.

C10.07. Robert’s Rules of Order, latest edition, shall govern parliamentary procedure of all meetings of this congregation.

Chapter 11.
OFFICERS

C11.01. The elected officers of this congregation shall be a president and a vice president. The appointed officers shall be a secretary, a treasurer, and a financial secretary.

a. Duties of the officers shall be specified in the bylaws.

b. Officers may delegate tasks but remain responsible for ensuring the completion of those tasks, including oversight of lay personnel.

c. Officers of this congregation shall serve similar offices of the Congregation Council.

C11.02.      a. The president shall be elected by written ballot in each odd-numbered year at the Congregation Meeting called for such purpose. Candidates shall be voting members of the congregation. Term of office shall be for two years and shall begin on January 1 of the succeeding year. The president may serve no more than two consecutive terms.

b. The vice president shall be elected by the Congregation Council at the first meeting of each year from among the council membership. The vice president shall serve a term of one year beginning upon election and continuing until a successor has been elected. The vice president may serve no more than two consecutive terms.

c. The secretary, treasurer, and financial secretary shall be appointed by the Congregation Council at the first meeting of each year. Term of the office shall begin immediately upon appointment, and appointed officers may serve for an unlimited number of terms.

C11.02.01. Duties of the officers:

a. The president shall:

1) work in consultation with the pastor(s) to provide leadership and direction of this congregation’s ongoing activities and long-range planning in fulfillment of its mission;

2) preside at meetings of the congregation, the Congregation Council, and the Executive Committee; and,

3) appoint a recording secretary in the absence of the secretary.

b. The vice president shall:

1) assist the president in carrying out the duties of the office and perform tasks at the direction of the president and the Congregation Council; and,

2) preside at meetings of the congregation, the Congregation Council, and the Executive Committee in the absence of the president.

c. The secretary shall:

1) record the minutes of all meetings of this congregation, the Congregation Council, and the Executive Committee;

2) distribute the minutes as appropriate; and,

3) ensure the preservation of all minutes permanently in the archives of this congregation.

d. The treasurer shall:

1) direct the business and financial functions of this congregation;

2) manage the receipt, investment, and disbursement of funds, payroll, and insurance;

3) assist the Finance Committee in preparing an annual budget; and,

4) provide a written financial report at a Congregation Meeting each year and at other times as directed by the Congregation Council.

e. The financial secretary shall:

1) maintain records of all contributions received by this congregation;

2) prepare statements of such contributions, to be provided to each contributor, at least once a year; and,

3) accumulate pledge information and provide a report thereon to the Congregation Council.

C11.03. No officer shall hold more than one office at a time.

C11.04. The removal of officers and vacancy of offices shall be addressed as follows:

a. The president may be removed and the position declared vacant by a two-thirds majority of the voting members of this congregation present at a legally called and conducted regular or special Congregation Meeting.

b. The vice president and the appointed officers may be removed and their position declared vacant by a majority of the voting members of the Congregation Council present at a legally called and conducted meeting of the Congregation Council.

c. Upon the resignation or removal of the president, the Congregation Council shall declare the position vacant and immediately call a special Congregation Meeting to elect a president to fill the uncompleted term in accordance with the provisions of this constitution and its bylaws.

d. Upon the resignation or removal of the vice president, the Congregation Council shall elect a vice president to fill the uncompleted term in accordance with the provisions of C11.02.b.

e. Upon the resignation or removal of any of the appointed officers, the Congregation Council shall appoint a successor to fill the uncompleted term in accordance with the provisions of C11.02.c.
